Use of The Wedding Newsletter web site and the services available to users from this web site are subject to the following Terms of Service ("TOS"). Please read the this carefully before using the The Wedding Newsletter service and website, as your use of the web site or services will signify your assent to be bound by the terms and conditions contained in this TOS.
DESCRIPTION OF SERVICE The Wedding Newsletter application site (the "Service") is a collection of applications for delivering communications between sender and receiver. Subject to the TOS, any registered user can create a The Wedding Newsletter application. Also, subject to the TOS, any registered user may also subscribe to or join other The Wedding Newsletter applications that are publicly open and listed on this site. Creators of The Wedding Newsletter applications are able to put links on their own websites that will give visitors direct access to the The Wedding Newsletter applications that they have created.
YOUR REGISTRATION OBLIGATIONS In consideration of use of the Service, users agree to: (a) provide true, accurate, current and complete information about themselves as prompted by the Service's registration form (such information being the "Registration Data'') and (b) maintain and promptly update the Registration Data to keep it true, accurate, current and complete. MEMBER ACCOUNT, PASSWORD AND SECURITY Users will receive a password and account designation upon completing the Service's registration process. Users are responsible for maintaining the confidentiality of the password and account, and are fully responsible for all activities that occur under user password or account. Users agree to (a) immediately notify The Wedding Newsletter of any unauthorized use of user password or account or any other breach of security, and (b) ensure that users exit from their accounts at the end of each session. The Wedding Newsletter cannot and will not be liable for any loss or damage arising from failure to comply with this Section.
ACCEPTABLE USE POLICY Users of the The Wedding Newsletter services and web site ("Service") understand that all information, data, text, software, music, sound, photographs, graphics, video, messages or other materials ("Content"), whether publicly posted or privately transmitted, are the sole responsibility of the person from which such Content originated. Upload, post, send, email or otherwise transmit any Content that users do not have a right to transmit under any law or under contractual or fiduciary relationships (such as inside information, proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements);
Upload, post, send, email or otherwise transmit any Content that infringes any patent, trademark, trade secret, copyright or other proprietary rights ("Rights") of any party;
Upload, post, email or otherwise transmit any unsolicited or unauthorized ad
Advertising, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation;
Upload, post, send, email or otherwise transmit any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;
Harvest or otherwise collecting information about others, including email addresses, without their consent.
Send, email or otherwise transmit unsolicited messages to any email addresses obtained from any purchased or harvested email lists in which the recipient did not expressly request to receive email messages from the sending entity.
Intentionally or unintentionally violate any applicable local, state, national or international law, including, but not limited to, regulations promulgated by the U.S. Securities and Exchange Commission, any rules of any national or other securities exchange, including, without limitation, the New York Stock Exchange, the American Stock Exchange or the NASDAQ, and any regulations having the force of law;
Create false, misleading or duplicative addresses for group members in order to disguise the destination of any Content transmitted through the Service;
Harass or "Stalk" another user or any individual, group, or organization;
Users acknowledge that The Wedding Newsletter does not pre‐screen Content, but that The Wedding Newsletter and its designees shall have the right (but not the obligation) in their sole discretion to refuse or remove any Content that is available via the Service. Without limiting the foregoing, The Wedding Newsletter and its designees shall have the right to remove any Content that violates the Acceptable User Policy of this section or is otherwise objectionable. Users agree that they must evaluate, and bear all risks associated with, the use of any Content, including any reliance on the accuracy, completeness, or usefulness of such Content. Users acknowledge and agree that The Wedding Newsletter may preserve Content and may also disclose Content if required to do so by law or in the good faith belief that such preservation or disclosure is reasonably necessary to: (a) comply with legal process; (b) enforce the Acceptable Use Policy of this section; (c) respond to claims that any Content violates the rights of third‐parties; or (d) protect the rights, property, or personal safety of The Wedding Newsletter, its users and the public. PUBLIC CONTENT POSTED The Wedding Newsletter respects the intellectual property of others, and we ask users to do the same. Users must abide by all copyright notices, information, or restrictions contained in or attached to any Content or portion of the Service. NO RESALE OF SERVICE Users agree not to reproduce, duplicate, copy, sell, resell or exploit for any commercial purposes, the Service, use of the Service or access to the Service. Accept as permitted in this or amending agreements.
INDEMNITY Users agree to indemnify, defend and hold harmless The Wedding Newsletter, and its subsidiaries, affiliates, officers, directors, employees, consultants, agents and licensors from any and all third party claims, liability, damages and/or costs (including but not limited to reasonable attorneys' fees) arising from failure to comply with the TOS, infringement, violation or misappropriation of any intellectual property or other right of a third party, Content, The Wedding Newsletter Applications, or from violation of any applicable law.
CHANGES TO THE SERVICE OR TOS The Wedding Newsletter reserves the right to modify, suspend, or discontinue all or any portion of the Service at any time, with or without notice. Unless explicitly stated otherwise, any new features that modify or enhance the current Service, including the release of new features or software applications by The Wedding Newsletter, shall be subject to the TOS. Users agree that The Wedding Newsletter shall not be liable to any user or to any third party for any modification, suspension or discontinuance of the Service. The Wedding Newsletter reserves the right to modify the TOS at any time. Any modifications shall be effective upon the earlier of the posting by The Wedding Newsletter of the modified TOS at the following URL http://www.theweddingnewsletter.com, or direct e‐mail notification of the changes to administrative users. Users agree to review these TOS periodically so that they are aware of any modifications. Continued use the Service shall be deemed acceptance of the modified TOS. Users agree that the above‐listed standards for notice of changes are reasonable.
TERMINATION AND FAILURE TO COMPLY WITH TOS Users acknowledge and agree that The Wedding Newsletter may suspend or terminate user accounts and/or deny access to, use of, or submission of Content or The Wedding Newsletter Applications for, all or part of the Service, without prior notice, if a users engage in any conduct that The Wedding Newsletter believes, in its sole discretion: (a) violates any term or provision of the TOS, (b) violates the rights of The Wedding Newsletter or third parties, (c) or is otherwise inappropriate for continued access and use of the Service. In addition, The Wedding Newsletter reserves the right to terminate inactive membership accounts and any applications associated with the offending users. Users agree that upon termination, we may delete all files and information related to user accounts and may bar user access to their accounts and the Service. Further, users agree that The Wedding Newsletter shall not be liable to user or any third‐party for any termination of user access to the Service. A user account may be discontinued if we are unable to deliver mail to the email address designated. We will also reserve the right to terminate any The Wedding Newsletter application that is inactive for a period of at least 6 months.
LINKS The Service contains advertisements and links to web sites operated by third parties. The Wedding Newsletter is not responsible for the content of these web sites or for user transactions with them. Inclusion of advertisements or links to such web sites does not imply any endorsement by The Wedding Newsletter of any content, advertising, products or other materials on or available from such web sites.
CHANGES TO SUBSCRIBER AGREEMENT We may change the terms of this Agreement at any time by notifying you of the change in writing or electronically (including without limitation, by email or by posting a notice on the Service that the terms have been "updated" or similar words). The changes also will appear in this document, which you can access at any time by going to the Subscriber Agreement and Terms of Use link at the footer of a Service in your login area. You signify that you agree to be bound by such changes by using a Service after changes are made to this Agreement.
PRIVACY AND YOUR ACCOUNT Registration data and other information about you are subject to our Privacy Policy. Your information may be stored and processed in the United States, and by subscribing to a service, you consent to the transfer of information outside of your country. If your access to a Service has been provided by or through a third party (for example, your employer), the Third Party may have provided us with information about you to enable us to provide you with access to the Service and distinguish you from other subscribers (such as your email address or name). If you access a Service using a password, you are solely responsible for maintaining the confidentiality of that password. If you provide someone else with access to your password to a Service, they will have the ability to view information about your account and make changes through your login area, for the Service. Similarly, if you tell someone the answer to your security question for a Service, they will be able to request information about your account and make changes through Customer Service. You agree to notify us promptly if you change your address or email so we can continue to contact you and send any notices required hereunder. If you fail to notify us promptly of a change, then any notice we send to your old address or email shall be deemed sufficient notice.
FEES AND PAYMENTS You agree to pay the subscription fees and any other charges incurred in connection with your user name and password for a Service (including any applicable taxes) at the rates in effect when the charges were incurred. If your subscription also includes premium content or services, you may be subject to additional fees, terms and conditions, which will be separately disclosed in such areas. We will bill all charges automatically to your credit card. Monthly Subscription fees will be billed at the time of service, before or at the beginning of the month if not paid in full upon registration to subscription services. Unless we state in writing otherwise, all fees and charges are nonrefundable. We may change the fees and charges then in effect, or add new fees or charges, by giving you notice in advance. If you want to use a different credit card or there is a change in credit card validity or expiration date, please email support@theweddingnewsletter.com to make changes. If you believe someone has accessed a Service using your user name and password without your authorization, please call Customer Service at 248‐227‐0671. You are responsible for any fees or charges incurred to access a Service through an Internet access provider or other third‐party service. Changes to fees are effective after we provide you with at least thirty days' notice by posting the changes and notifying you via email or by phone. All fees are quoted in U.S. Dollars. You are responsible for paying all fees and applicable taxes associated with the Sites in a timely manner with a valid payment method. If your payment method fails or your account is past due, we may collect fees owed using other collection mechanisms. (This includes charging other payment methods on file with us, retaining collection agencies and legal counsel.)
CANCELLATION AND RENEWAL For annual subscriptions, we will notify you of the pending renewal of your subscription at least 30 days prior to the date your subscription is due for renewal, except as otherwise required by law. We may cancel your subscription at any time by notifying you. You may cancel your subscription by calling Customer Service at 248‐227‐0671. We do not accept cancellations by mail or email or by any other means other than calling Customer Service.
CHARGES If there is a charge associated with a portion of the services, you agree to pay that charge. The price stated for the service excludes all applicable taxes and currency exchange settlements, unless stated otherwise. You are solely responsible for paying such taxes or other charges. We may suspend or cancel the services if we don't receive payment from you. Suspension or cancellation of the services for non‐payment could result in a loss of access to and use of your account and its content.
YOUR BILLING ACCOUNT To pay the charges for a service, you will be asked to provide a payment method at the time you sign up for that service. You can access and change your billing account information and payment method. Additionally, you agree to permit The Wedding Newsletter to use any updated account information regarding your payment method provided by your issuing bank or the applicable payment network. You agree to keep your billing account information current at all times. By providing The Wedding Newsletter with a payment method, you (i) represent that you are authorized to use the payment method that you provided and that any payment information you provide is true and accurate; (ii) authorize The Wedding Newsletter to charge you for the services using your payment method; and (iii) authorize The Wedding Newsletter to charge you for any paid feature of the services that you choose to sign up for or use while this agreement is in force. We may bill you (a) in advance; (b) at the time of purchase; (c) shortly after purchase; or (d) on a recurring basis for subscription services. Also, we may charge you up to the amount you've approved, and we'll notify you in advance of any change in the amount to be charged for recurring subscription services. We may bill you at the same time for more than one of your prior billing periods for amounts that haven't previously been processed.
LIMITATIONS OF USE The text, graphics, images, metadata and other data, design, organization, compilation, look and feel, advertising and all other protectable intellectual property (the "Content") available through our standard subscription Services are our property or the property of our advertisers and are protected by copyright and other intellectual property laws. Unless you have our written consent, you may not sell, publish, distribute, retransmit or otherwise provide access to the Content received through the Services to anyone, including, if applicable, your fellow employees, with the following exceptions: While you may access your digital portal from our newsletter online platform, and store, create, modify any of the archive of articles from the Service for your personal newsletter, you may not otherwise provide access to such an archive to more than a few individuals on an occasional basis.
You agree not to create abstracts from, scrape or display any of The Wedding Newsletter subscription content for use on another web site, blog or any social media site. You agree not to post any content from the Newsletters (other than headlines with active links back to the newsletter sign up link) to weblogs, social media sites or electronic bulletin boards, without our written consent. You agree not to use the Services for any unlawful purpose. We reserve the right to terminate or restrict your access to a Service if, in our opinion, your use of the Service may violate any laws, regulations or rulings, infringe upon another person's rights or violate the terms of this Agreement. Also, we may refuse to grant you a user name that impersonates someone else, is protected by trademark or other proprietary right law, or is vulgar or otherwise offensive.
You may not transmit, distribute, download, copy, cache, host, or otherwise store any information, data, material, or work that infringes the intellectual property rights of others. The Wedding Newsletter has the right to disable access to, or remove, infringing content to the extent required under any law or regulation, including the Digital Millennium Copyright Act of 1998.
You may not send unsolicited bulk messages over the Internet (i.e., "spamming") and must comply with all relevant legislation and regulations on bulk and commercial e‐mail, including the CAN‐SPAM Act of 2003. Without limiting other remedies, we may limit, suspend, or terminate our service and user accounts, prohibit access to our website, delay or remove hosted content, and take technical and legal steps to keep users off the Sites if we think that they are creating problems, possible legal liabilities, or acting inconsistently with the letter or spirit of our policies.
CONTENT RIGHTS The Website Designs, Guides, Frequently Asked Questions, Service Pages, Bi‐monthly Newsletters, graphics, images, artistic direction and other content and information provided by The Wedding Newsletter (Web Content) are protected by federal copyright law. Photocopying or reproducing them in any form other than for use of your newsletter subscription is strictly prohibited. Your use of the Web Content and article archives over any period of time gives you no rights other than those rights granted by this copyright and the standard subscription services. The Wedding Newsletter reserves the right to add, delete or modify Web Content, as it deems appropriate. Subscriber will relinquish the license to use of Web Content upon termination of its subscription to The Wedding Newsletter. Content includes anything you upload to, store on, or transmit through the services, such as data, documents, photos, video, music, email, and instant messages (“content”). Except for material that we license to you that may be incorporated into your own content (such as graphic art), we do not claim ownership of the content you provide on the services. Your content remains your content, and you are responsible for it. We do not control, verify, pay for, or endorse the content that you and others make available on the services.
